TERMS OF USE

These Terms of Use ("Terms") govern your use of bridgecapus.com and the services of Bridge Capital L.L.C. ("Bridge Capital," "we," "us"). By using our website or engaging our services, you agree to these Terms.
1. WHAT WE DO
Bridge Capital provides two kinds of services:
US company services: document preparation, filing and compliance support for individuals and businesses forming and maintaining US limited liability companies (LLCs). Depending on the services you engage us for, this may include preparing and filing formation documents, obtaining an Employer Identification Number (EIN), arranging a registered agent, preparing an operating agreement, filing annual reports and tracking compliance deadlines.
Business consulting: helping companies understand where they stand and prepare for their next step in the US market, which may include business reviews, planning, financial presentations and organizing corporate documents.
Bridge Capital is not a law firm, accounting firm, bank, broker-dealer, placement agent or investment adviser. We do not provide legal, tax or investment advice, and we prepare and file documents at your direction, based on the information you give us. We do not offer or sell securities, and we do not negotiate with investors or lenders on your behalf. We never hold, manage or have access to your funds. For advice about your situation, including which state to form in, how your company should be taxed or your obligations in your home country, consult a licensed attorney or tax professional.
2. OUR FEES AND PAYMENT
We will quote our fees to you in writing before we begin any work. Your quote sets out what the fee covers and when it is due. Government filing fees, registered agent fees, the fees of any licensed tax professional and other third-party costs are separate unless your quote says otherwise, and we will tell you about them in advance.
We send invoices through our payment provider. If your quote allows payment in installments, each installment is due on the date shown on your invoice, and we may pause work while a payment is overdue.
3. CANCELLATIONS AND REFUNDS
You may cancel an engagement at any time by writing to info@bridgecapus.com.
If you cancel before we start work, we refund our service fee in full. Work starts when we begin preparing your documents, filings or materials.
Once we have started work, our service fees are not refundable.
Government filing fees, registered agent fees and other third-party costs already paid on your behalf are not refundable.
4. CORRECTIONS
If a filing we prepare is rejected because of an error made by Bridge Capital, we will correct and resubmit it at no additional service charge.
This does not apply if a filing is rejected or delayed because of:
Information or documents you provided that were inaccurate, incomplete, expired or not genuine
Decisions of a state agency, the IRS or any other third party
Your decision to withdraw or not complete the engagement
5. NO GUARANTEE OF OUTCOMES
Acceptance of filings, issuance of an EIN and processing times are decided solely by the relevant state agency, the IRS or other third parties. We cannot and do not guarantee that any filing will be accepted, or completed, within a specific time. For consulting services, we do not guarantee any business result, including that any financing, contract or partnership will be obtained.
6. YOUR RESPONSIBILITIES
Provide complete, accurate and truthful information and documents
Review documents we prepare before they are filed or used
Tell us promptly about changes that affect your company, such as new owners, managers or addresses
Pay government, registered agent and other third-party fees on time
Comply with the laws of the United States and of your country, including any tax or reporting obligations
7. ONGOING COMPLIANCE
If you engage our annual compliance service, we track and handle the deadlines included in that service. We are not responsible for penalties, late fees or loss of good standing that result from deadlines outside the services you engaged us for, or from information or payments you did not provide in time.
8. CONSULTING MATERIALS
Presentations, financial summaries and other materials we prepare for you are based on the information you give us, and you are responsible for its accuracy and for how you use the materials. Once you have paid for them, you may use them for your business. We keep your information confidential and do not share your materials with lenders, investors or other third parties; you decide who receives them.
9. LIMITATION OF LIABILITY
To the fullest extent permitted by law, Bridge Capital is not liable for any indirect, incidental, special or consequential damages arising from our services or your use of this website. Our total liability for any claim related to our services is limited to the fees you paid us for the service in question.
10. WEBSITE CONTENT
The content on this website is for general information only and is not legal, tax or investment advice. Penalty amounts and requirements described on this website are examples, are set by each state and the IRS, and can change. We try to keep the content accurate and current, but it is provided "as is" without warranties of any kind. All content, logos and materials on this site belong to Bridge Capital and may not be copied without our permission.
11. PRIVACY
Our Privacy Policy explains how we collect and use your personal information.
12. GOVERNING LAW
These Terms are governed by the laws of the State of Florida, USA, without regard to its conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in Florida, unless the law of your country of residence requires otherwise.
13. CHANGES TO THESE TERMS
We may update these Terms from time to time. The effective date above shows when they were last revised. The Terms in effect when you engaged our services apply to that engagement.
